MET Conference – Terms & Conditions

 

  1. UBC has complete discretion regarding the conduct of the MET Conference, including its duration, the resources to be applied to the MET Conference, the approach to be taken, the activities of and for the MET Conference, the messages of and for the MET Conference, and the planning of and for the MET Conference.
  2. These Terms and Conditions do not grant You any rights to the content used or developed by UBC or others in connection with the MET Conference, including any logos or trademarks. If You wish to use any of that content, You must obtain all consents or licenses required at law from the legal owners of those rights, including but not limited to licenses from copyright holders.
  3. You hereby grant to UBC a non-exclusive royalty-free licence to use Your name, logos and trademarks: (i) in connection with any advertising or promotion UBC may undertake in support of the MET Conference; (ii) to identify You as a financial supporter of the MET Conference on its website and other promotional materials; and (iii) for the purpose of recognizing Your financial support of the MET Conference on any signs, promotional materials, products or other print, electronic or other displays at the MET Conference.
  4. No media announcement concerning Your sponsorship of the MET Conference will be made until we have jointly approved, in writing, the format and content of the announcement and the timing and (if applicable) location.
  5. Where these Terms and Conditions require UBC’s consent or approval, it must be obtained in advance and in writing. No prior consent or approval and no condoning, excusing or overlooking by UBC on any prior occasion will waive the requirement for consent or approval on another occasion. UBC may stipulate reasonable requirements for its consent, and UBC may withhold its consent until those requirements and terms have been satisfied.
  6. UBC is not liable to You for indirect, special, incidental, punitive, exemplary or consequential damages, or damages for loss of profit arising directly or indirectly from your sponsorship of the MET Conference.
  7. You agree to indemnify and saves harmless UBC, its employees and agents from and against all liabilities, claims, demands, actions, causes of action, damages, losses, costs and expenses (including reasonable legal fees) resulting from, or arising out of, or otherwise in connection with (i) the use by UBC of Your trademarks in accordance with these Terms and Conditions; or (ii) any of Your acts or omissions.
  8. UBC may, by notice in writing, immediately terminate Your sponsorship of the MET Conference if the MET Conference is for any reason whatsoever discontinued or ceases to be actively supported by UBC, in which event UBC will refund the amount of Your sponsorship of the MET Conference, provided that UBC will not be required to refund any portion that UBC has spent or committed as of the date of termination.
  9. UBC may terminate Your sponsorship of the MET Conference by notice in writing to You if You are in breach of any material term of these Terms and Conditions and that breach is not cured within 30 days of UBC notifying you of such breach, in which event UBC will not be required to refund any portion of the amount of Your sponsorship of the MET Conference.
  10. These Terms and Conditions are governed by the laws of the Province of British Columbia and the applicable laws of Canada. You attorn to the jurisdiction of the Courts of the Province of British Columbia in the event of any dispute or proceeding concerning the subject matter of these Terms and Conditions.
  11. These Terms and Conditions constitute the entire understanding and agreement between You and UBC with respect to Your sponsorship of the MET Conference and supersedes any prior understandings between You and UBC whether oral or written, with respect to this subject matter.
